Coaching Programs, Diagnostic Sessions, Membership & Digital Products

Effective Date: July 1, 2026

Governing Business Entity: CGDay Services, LLC

1. General Terms: Applicable to All Programs & Services

The following terms apply to every coaching program, diagnostic session, membership, digital product, and communication access described in this document, in addition to the terms specific to each individual offer below. Where a program-specific section states a more detailed rule on the same subject, both apply; if there is a direct conflict, the program-specific section controls for that program only.

1.1 No Refunds for Unused Services

Once a program, session, membership term, or access window has begun, no refunds, full or partial, will be issued for sessions not attended, time not used, content not accessed, or services otherwise not utilized by Client, regardless of the reason for non-use. This includes but is not limited to missed calls, unused Voxer access days, unattended live events, and early voluntary discontinuation by Client. Any exceptions to this policy are stated explicitly within a specific program's terms below and apply only to that program.

1.2 No Liability

CGDay Services, LLC, including Founder and CEO, Calvalyn Day, later identified in this document as “Coach”, provide business coaching, strategic consulting, educational content, and related resources only. Coach accepts no liability, express or implied, for Client's business decisions, financial outcomes, licensure or regulatory compliance, staffing decisions, or any other result arising from Client's participation in any program, use of any resource, or reliance on any guidance provided. Client acknowledges that all outcomes depend on factors outside Coach's control, including Client's own implementation, market conditions, and regulatory environment.

1.3 No Partnership or Joint Venture

Nothing in these Terms, and no aspect of Client's participation in any program, creates a partnership, joint venture, agency relationship, employment relationship, or fiduciary duty between Coach/CGDay Services, LLC and Client. Client operates at all times as an independent business owner, solely responsible for their own practice, licensure, staff, clients, and business decisions. Neither party has authority to bind the other, and no revenue-sharing, co-ownership, or shared liability arrangement is created by these Terms unless separately documented in a signed written agreement.

1.4 Educational Information Only, Independent Professional Consultation Required

All coaching, content, templates, frameworks, and materials provided under any program described in this document are for general informational and educational purposes only. Nothing provided constitutes legal advice, financial or tax advice, clinical supervision, or a determination of licensure or regulatory compliance. Client is solely responsible for independently consulting their own state licensing or practice board, a licensed attorney, and/or a qualified financial advisor before making any decision related to their practice structure, licensure, billing, compliance, or finances. Coach's guidance may reference general industry practices but should never be treated as a substitute for that independent professional consultation.

1.5 Digital Products, Courses & Recorded Materials

Digital products, self-paced courses, templates, and pre-recorded materials are believed accurate and current as of their date of recording or publication. No guarantee of continued accuracy is made or implied beyond that date. This applies in particular to information that is subject to change over time, including but not limited to insurance and reimbursement practices, tax treatment, platform or software features, and state licensure or regulatory requirements. Client is responsible for verifying current accuracy of any such information before relying on it.

2. Private Practice Coaching: 1-Month Plan

Program Overview

The Private Practice Coaching 1-Month Plan is a short-term coaching engagement designed to provide focused business strategy and guidance on a single, defined priority within your private practice. This program does not guarantee specific business outcomes.

1. Scope of Services

  • 1 coaching session provided via Zoom, scheduled at Client's convenience within the program term.

  • Access to relevant resources, templates, and recordings for the duration of the program, and continued use of any templates provided indefinitely.

  • Communication via email and/or Voxer for up to 30 days following the session, during stated office hours.

  • Guidance and support limited to the single priority area identified at the start of the engagement.

2. Payment Terms & Refund Policy

  • Total program investment: as stated in Client's invoice or enrollment agreement at time of purchase.

  • Payment collected in full prior to the start of service.

  • No refunds are offered once the session has been scheduled or delivered, consistent with Section 1.1 above.

  • A refund may be considered only prior to the scheduled session date, at Coach's sole discretion.

3. Client Responsibilities

  • Client commits to attending the scheduled session and participating fully.

  • Client agrees to complete any agreed-upon action steps following the session.

  • Client understands that outcomes depend on their own implementation and effort, and that no specific result is guaranteed.

4. Confidentiality

  • All Client information and program materials remain strictly confidential.

  • Client agrees not to share, distribute, or duplicate program content without Coach's permission.

5. Intellectual Property

  • Program content, frameworks, and materials remain the intellectual property of Coach.

  • Client may not reproduce, distribute, or use program materials for commercial purposes without Coach's written consent.

6. Communication Boundaries

  • Coach availability: Monday–Friday, 9:00 AM–6:00 PM EST.

  • Response time: up to 48 business hours.

  • Emergency or crisis support is not included in this program. See Section 8 (Voxer Coaching Access) for the general limits that also apply to any Voxer communication.

7. Termination Clause

  • Coach may terminate Client's participation if Client is abusive, unethical, or violates these Terms.

  • There are no refunds for termination with cause.

Coaching does not constitute legal, financial, clinical, or licensure advice. See Section 1.4 above. No guarantees are made regarding revenue, business outcomes, or personal results. See Sections 1.2 and 1.3 above regarding liability and the nature of the coaching relationship.

3. Private Practice Coaching: 3-Month Plan

Program Overview

The Private Practice Coaching 3-Month Plan is a coaching program designed to provide business strategy, guidance, and support for you as the private practice owner in order to help you achieve your identified goals. The program includes scheduled coaching sessions, access to program resources, and guidance from the Coach. This program does not guarantee specific business outcomes.

1. Scope of Services

  • 3 coaching sessions provided via Zoom and scheduled at Client's convenience.

  • Access to resources, templates, recordings, and other program materials for the duration of the program, as well as continued use of any templates provided indefinitely.

  • Communication via email and/or Voxer during stated office hours.

  • Guidance and support in alignment with program objectives.

2. Payment Terms & Refund Policy

  • Total program investment as stated in Client's current invoice or enrollment agreement.

  • Payment collected prior to start of service; extended payment terms available after a signed term agreement.

  • A refund may be considered only prior to the program start date, at Coach's sole discretion.

3. Client Responsibilities

  • Client commits to attending scheduled sessions and participating fully.

  • Client agrees to complete all exercises, assignments, and action steps.

  • Client understands that outcomes depend on their own implementation and effort.

4. Confidentiality

  • All Client information and program materials remain strictly confidential.

  • Client agrees not to share, distribute, or duplicate program content without permission.

5. Intellectual Property

  • Program content is the intellectual property of Coach.

  • Client may not reproduce, distribute, or use program materials for commercial purposes without Coach's written consent.

6. Communication Boundaries

  • Coach availability: Monday–Friday, 9:00 AM–6:00 PM EST.

  • Response time: up to 48 business hours.

  • Emergency or crisis support is not included in this program.

7. Termination Clause

  • Coach may terminate participation if Client is abusive, unethical, or violates program terms.

  • There are no refunds for termination with cause.

4. Private Practice Coaching: 6-Month Plan (With Completion Guarantee)

Program Overview

The Private Practice Coaching 6-Month Plan is a coaching program designed to provide strategic guidance, accountability, and support to help you achieve your business goals. This program includes scheduled coaching sessions, access to program resources, and ongoing support.

1. Scope of Services

  • 6 coaching sessions via Zoom.

  • Access to resources, templates, recordings, and other program materials.

  • Communication via email and/or Voxer during stated office hours.

  • Guidance aligned with program objectives and milestones.

2. Completion Guarantee

  • Program includes a completion guarantee, ensuring continued coaching support until the outlined program goals are met.

  • The guarantee is contingent upon full participation by Client, including: attending all scheduled sessions, completing assignments and action steps in a timely manner, and following program milestones as outlined.

  • The completion guarantee does not cover outcomes beyond Client's own execution and does not override Section 1.2 (No Liability) above, it extends coaching support, not a guaranteed business result.

  • If Client meets all responsibilities outlined above, coaching support will continue until the stated program goals are achieved.

3. Payment Terms

  • Total program investment as stated in Client's current invoice or enrollment agreement.

  • Electronic payment is required.

4. Refund Policy

  • No refunds are offered once the program has started, consistent with Section 1.1 above.

  • A refund may be considered only prior to the program start date, at Coach's sole discretion.

5. Client Responsibilities

  • Client commits to attending scheduled sessions and participating fully.

  • Client agrees to complete all exercises, assignments, and action steps.

  • Client understands that the completion guarantee is dependent on their adherence to these responsibilities.

6. Confidentiality

  • All Client information and program materials remain strictly confidential.

  • Client agrees not to share, distribute, or duplicate program content without permission.

7. Intellectual Property

  • Program content is the intellectual property of Coach.

  • Client may not reproduce, distribute, or use program materials for commercial purposes without Coach's written consent.

  • Any content created by Client during this program is solely owned by Client.

8. Communication Boundaries

  • Coach availability: Monday–Friday, 9:00 AM–6:00 PM EST.

  • Response time: up to 48 business hours.

  • Emergency or crisis support is not included in this program.

9. Termination Clause

  • Coach may terminate participation if Client is abusive, unethical, or violates program terms.

  • There are no refunds for termination with cause.

10. Limitation of Liability & No Guarantee

5. Practice Revenue Diagnostic (PRD)

Program Overview

The Practice Revenue Diagnostic (PRD) is a single, paid 90-minute strategy session designed to diagnose the structural, positioning, and revenue constraints within Client's private practice and to provide one clear, prioritized recommendation. The PRD is a diagnostic working session, not a guaranteed consulting engagement, sales call, or ongoing advisory relationship, and it does not guarantee enrollment eligibility for any other program.

1. Scope of Services

  • One 90-minute session via Zoom.

  • A session recording, made available to Client for a limited period following the session (currently 30 days).

  • A written Practice Revenue Map delivered as a Word document, typically the same day or the next business day following the session

  • Up to 30 days of Voxer access following the session for implementation questions directly related to the session's recommendations may be included.

  • One 30-day check-in call to review implementation progress.

2. Payment Terms & Refund Policy

  • Total investment: as stated on Client's booking page or invoice at the time of purchase.

  • Payment is due in full at the time of booking.

  • No refunds are offered once the session has been held, consistent with Section 1.1 above.

  • Client may reschedule their session one time with at least 24 hours' notice; sessions missed without notice (no-shows) are not eligible for a refund or automatic rescheduling.

  • A refund or rescheduling may be considered only prior to the scheduled session date, at Coach's sole discretion.

3. Client Responsibilities

  • Client agrees to come prepared with accurate, current information about their practice's revenue, structure, and operations, as the diagnostic depends on that information.

  • Client understands that the Practice Revenue Map and any recommendations are diagnostic in nature and depend on Client's own implementation for any result.

4. Confidentiality

  • All information Client shares during the session remains strictly confidential.

  • Client agrees not to share, distribute, or duplicate the Practice Revenue Map or session recording for any commercial purpose without Coach's permission.

5. Intellectual Property

  • The Practice Revenue Map delivered to Client is Client's to use in operating their own practice.

  • The underlying diagnostic framework, methodology, and any templates used to produce it remain the intellectual property of Coach and may not be reproduced, taught, or resold by Client.

6. Communication Boundaries

  • If included, Voxer access following the session is intended for implementation questions related to the session, not open-ended or unlimited coaching.

  • Response time via Voxer: up to 48 business hours; Coach availability follows the same Monday–Friday, 9:00 AM–6:00 PM EST window stated above.

  • Emergency or crisis support is not included in this session or the follow-up access window. See Section 8 (Voxer Coaching Access) for further detail.

7. Limitation of Liability & No Guarantee

The PRD is diagnostic and educational in nature. It does not constitute legal, financial, tax, or licensure advice, and does not guarantee any specific revenue outcome, enrollment eligibility, or business result. See Sections 1.2, 1.3, and 1.4 above regarding liability, the nature of the relationship, and the requirement to consult independent professionals as needed.

6. The Leverage Lab (Six-Month Group Coaching Program)

Program Overview

The Leverage Lab is a six-month group coaching and implementation program for established private practice owners working to build scalable revenue beyond one-to-one clinical work. Enrollment is limited to a defined cohort size, and the program combines group instruction, individual touchpoints, and asynchronous support. This program does not guarantee specific business outcomes.

1. Scope of Services

  • A monthly implementation guide delivered electronically.

  • A monthly live group content call.

  • An optional monthly group hot seat session.

  • Access to a digital resource library for the duration of the program.

  • An individual 1:1 onboarding call scheduled during the first month of the program.

  • An individual mid-program check-in call, generally scheduled around the program's midpoint.

  • Voxer access throughout the six-month program term, subject to the general communication boundaries described below and in Section 8.

2. Payment Terms & Refund Policy

  • Total program investment: as stated in Client's current enrollment agreement or invoice at time of enrollment. Investment may vary by cohort and enrollment timing (e.g., founding-rate pricing).

  • Payment may be made in full or via an approved payment plan as outlined in Client's enrollment agreement.

  • No refunds are offered once the program has started, consistent with Section 1.1 above, including for any months of the program Client does not attend or complete.

  • A refund may be considered only prior to the program start date, at Coach's sole discretion.

  • If Client is on a payment plan and withdraws or is removed from the program after it has started, Client remains responsible for the full program investment as agreed in the enrollment agreement.

3. Client Responsibilities

  • Client commits to attending scheduled group calls and the individual 1:1 touchpoints described above.

  • Client agrees to complete assignments, implementation steps, and program milestones in a timely manner.

  • Client understands that outcomes depend on their own implementation, participation, and business context, and that no specific revenue or business result is guaranteed by enrollment.

4. Confidentiality

  • All Client information shared during group or individual sessions remains strictly confidential.

  • Because this is a group program, Client further agrees to keep confidential any information shared by other program members during group calls or in shared community spaces, and not to share, record, or distribute that information outside the program.

  • Client agrees not to share, distribute, or duplicate program content without Coach's permission.

5. Intellectual Property

  • Program content, frameworks, and materials are the intellectual property of Coach.

  • Client may not reproduce, distribute, teach, or use program materials for commercial purposes without Coach's written consent.

  • Any content Client creates during the program (e.g., Client's own marketing copy, offers, or business documents produced using program frameworks) is solely owned by Client.

6. Communication Boundaries

  • Coach availability: Monday–Friday, 9:00 AM–6:00 PM EST.

  • Response time: up to 48 business hours.

  • Emergency or crisis support is not included in this program.

7. Termination Clause

  • Coach may terminate Client's participation if Client is abusive, unethical, or violates program terms, including confidentiality obligations owed to other group members.

  • There are no refunds for termination with cause.

8. Limitation of Liability & No Guarantee

Coaching does not constitute legal, financial, or therapeutic advice. See Section 1.4 above. No guarantees are made regarding revenue, business outcomes, or personal results. See Sections 1.2 and 1.3 above regarding liability and the nature of the coaching relationship.

7. Monthly Membership ("The Inner Circle")

Program Overview

The Inner Circle is a recurring monthly membership offering lighter-touch group coaching, education, and community access for private practice owners. Membership is billed on a recurring monthly basis and may be canceled by Client at any time, effective as described below. This program does not guarantee specific business outcomes.

1. Scope of Services

  • One monthly mini-masterclass or training.

  • One monthly live group hot seat session.

  • Access to the membership community and content archive for the duration of active membership.

  • Discounts or early access to select future Coach offers, as made available from time to time at Coach's discretion.

2. Payment Terms & Refund Policy

  • Membership is billed monthly at the rate stated at the time of enrollment and will auto-renew each month until canceled.

  • No refunds are offered for any current or prior billing period, including partial months, consistent with Section 1.1 above.

  • Client may cancel at any time; cancellation stops future billing but does not refund the current billing period already paid for. Client retains access through the end of the billing period already paid.

  • Coach reserves the right to change the membership price on a going-forward basis with notice to active members; the then-current price applies to each new billing cycle.

3. Client Responsibility

  • Client is responsible for canceling their membership through the designated cancellation process if they no longer wish to continue.

  • Client understands that outcomes depend on their own participation and implementation, and that no specific business result is guaranteed by membership.

4. Confidentiality

  • Client agrees to keep confidential any information shared by other members during live sessions or within the community space.

  • Client agrees not to share, distribute, screenshot, or duplicate membership content outside the community without Coach's permission.

5. Intellectual Property

  • Membership content, including masterclasses, archive materials, and community resources, is the intellectual property of Coach and is licensed to Client for personal, non-commercial use during active membership only.

  • Access to archive content ends upon cancellation or non-payment; Client may retain and/or continue using downloaded materials after membership ends, but has no ownership of materials.

6. Communication Boundaries

  • Membership does not include individual 1:1 coaching access. Questions are addressed during live group sessions or within the community space, at Coach's discretion.

  • Emergency or crisis support is not included in this program.

7. Termination Clause

  • Coach may suspend or terminate Client's membership immediately, without refund, if Client is abusive, unethical, violates confidentiality obligations, or otherwise violates these Terms.

  • Coach reserves the right to discontinue the membership program with reasonable notice; in that event, Client will not be billed for periods after the program's discontinuation.

Membership content is educational and does not constitute legal, financial, or therapeutic advice. See Section 1.4 above. No guarantees are made regarding revenue, business outcomes, or personal results. See Sections 1.2 and 1.3 above regarding liability and the nature of the coaching relationship.

8. Voxer Coaching Access

Program Overview

Voxer Coaching Access refers to asynchronous voice and text coaching access provided through the Voxer application, whether included as part of another program described in this document or purchased as a standalone add-on. Voxer access is a supplemental support channel, not a substitute for scheduled coaching sessions, real-time crisis support, or clinical supervision.

1. Scope of Services

  • Asynchronous voice and/or text messages exchanged via the Voxer application for the access period specified in Client's applicable program terms or standalone purchase.

  • Coach's responses are intended as coaching guidance related to Client's practice and business, not real-time or emergency support.

2. Payment Terms & Refund Policy

  • Where Voxer access is included within another program, it is governed by that program's payment and refund terms above.

  • Where purchased as a standalone add-on, the investment is as stated at the time of purchase, and no refunds are offered for unused days or unused messages within the purchased access window, consistent with Section 1.1 above.

3. Communication Boundaries

  • Coach availability: Monday–Friday, 9:00 AM–6:00 PM EST. Messages sent outside these hours will be addressed on the next business day.

  • Response time: up to 48 business hours.

  • Voxer access expires at the end of the stated access period and is not renewed or extended automatically.

  • Voxer coaching access does not include emergency, crisis, or clinical support of any kind. If Client is experiencing a mental health crisis or emergency, Client should contact 911, the 988 Suicide & Crisis Lifeline, or another appropriate emergency resource, not Coach via Voxer.

4. Confidentiality

  • Messages exchanged via Voxer are treated as confidential coaching communication and will not be shared or distributed by Coach outside of Coach's own business records, except as required by law.

  • Client acknowledges that Voxer is a third-party application, and Client is responsible for reviewing Voxer's own privacy and data practices.

5. Limitation of Liability & No Guarantee

Voxer coaching access is educational and supplemental in nature and does not constitute legal, financial, clinical, or licensure advice, nor emergency or crisis support. See Sections 1.2, 1.3, and 1.4 above regarding liability, the nature of the relationship, and the requirement to consult independent professionals or emergency services as needed.

9. Digital Products & Courses

This section applies to all standalone digital products, guides, planners, toolkits, and self-paced courses offered by Coach, including but not limited to The Visible Therapist, The Signature Toolkit, Therapist Math 101, the Audit Protector Kit, and the Peace & Profit Planner.

1. Scope

  • Digital products and courses are delivered electronically and are licensed to Client for personal, single-practice use only upon purchase.

  • Access to downloadable materials is generally provided immediately or within a short period following purchase, as stated at checkout.

2. Payment Terms & Refund Policy

  • All sales of digital products and courses are final. Because these are instantly deliverable digital goods, no refunds are offered once access or download has been provided, consistent with Section 1.1 above.

3. Accuracy of Content

  • Digital products and courses are accurate to the best of Coach's knowledge as of their date of recording or publication.

  • No guarantee of continued accuracy is made or implied beyond that date, particularly regarding insurance, reimbursement, tax, platform, or licensure-related information that may change over time. See Section 1.5 above.

4. Intellectual Property

  • All digital products and course content remain the intellectual property of Coach.

  • Client may not reproduce, resell, redistribute, or share purchased materials with any person or business outside their own practice without Coach's written consent.

5. Limitation of Liability & No Guarantee

Digital products and courses are educational in nature and do not constitute legal, financial, or licensure advice. No guarantees are made regarding revenue, business outcomes, or personal results. See Sections 1.2, 1.3, and 1.4 above.

10. General Provisions

10.1 Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles, and any dispute arising under these Terms will be resolved in the state or federal courts located in that state, unless otherwise required by applicable law.

These Terms, together with any signed enrollment agreement or invoice specific to a program, represent the entire agreement between Coach/CGDay Services, LLC and Client with respect to the subject matter herein, and supersede any prior oral or written communications, proposals, or representations not expressly incorporated here.

10.3 Modification of Terms

Coach reserves the right to update or modify these Terms at any time. Material changes affecting an active program will be communicated to enrolled Clients. Continued participation in a program after such notice constitutes acceptance of the updated Terms.

10.4 Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

10.5 No Waiver

Coach's failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or of Coach's right to enforce it at a later time.

10.6 Assumption of Risk & Independent Business Decisions

Client acknowledges that all business, financial, licensure, and operational decisions made in connection with any program described in this document are made independently by Client, and Client assumes full responsibility and risk for those decisions, consistent with Sections 1.2, 1.3, and 1.4 above.

Acknowledgment

By enrolling in, purchasing, or participating in any program, session, membership, or digital product described in this document, Client acknowledges that they have read, understood, and agree to these Terms of Service, including the terms specific to the program(s) in which they are enrolling.
